These Terms of Service ("Terms") govern your use of Finders Guild services, including our guild membership program, Project Surfboard deal platform, community networks, and all associated platforms and affiliated communities. By accessing and using our services, you agree to be bound by these Terms.

These Terms apply to all users regardless of how you access our services—whether through our website, mobile application, or affiliated community platforms.

Acceptance of Terms

By registering for membership, submitting deals through Project Surfboard, participating in our communities, or using our services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. Your continued use of our services after modifications constitutes your acceptance of the updated Terms.

Eligibility & Membership Requirements

To use Finders Guild services, you must meet the following requirements:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be barred from using our services under applicable law
  • Provide accurate, current, and complete information during registration
  • Maintain the confidentiality of your account credentials
  • Use your account only for lawful purposes
  • Meet specific eligibility criteria for certain membership tiers or specialized programs

We reserve the right to verify membership eligibility and reject applications at our discretion.

Guild Membership

Rights & Benefits

Your membership grants you access to guild resources, networking events, deal opportunities, and community platforms. The specific benefits depend on your membership tier and status.

Obligations & Responsibilities

  • Pay all membership fees and associated costs promptly
  • Maintain active participation in good standing
  • Comply with all guild policies and community guidelines
  • Respect the intellectual property and confidentiality of other members
  • Participate ethically in deal collaboration and networking
  • Disclose any conflicts of interest

Fee Structure

Membership fees are detailed on our Pricing page. Fees may be updated with 30 days' notice. Renewal occurs automatically unless cancelled. All fees are non-refundable except as required by law.

Code of Conduct

As a member of Finders Guild, you agree to conduct yourself with professionalism, integrity, and respect. You must not:

  • Engage in fraud, misrepresentation, or deceptive practices
  • Harass, intimidate, or discriminate against other members based on protected characteristics
  • Violate intellectual property rights or use member information inappropriately
  • Manipulate deal information or mislead others about investment opportunities
  • Engage in illegal activities or violate applicable laws
  • Disrupt community harmony or platform functionality
  • Attempt to access unauthorized areas or compromise platform security
  • Solicit funds without proper disclosure and authorization
  • Share confidential guild information with non-members
  • Use our platform for personal gain at the expense of other members

Violations of this Code of Conduct may result in account suspension, termination, and legal action.

Project Surfboard Terms

Deal Submission & Management

Project Surfboard is our deal submission and collaboration platform. By submitting deals, you represent that you have authority to do so, that all information is accurate and complete, and that you comply with all applicable securities laws and regulations.

Representations & Warranties

You represent and warrant that any deal submitted through Project Surfboard:

  • Contains accurate and not misleading information
  • Complies with all applicable laws and regulations
  • Does not violate third-party rights
  • Includes proper risk disclosures
  • Is submitted for legitimate business purposes

No Guarantees

We do not guarantee deal success, returns, or outcomes. We do not endorse specific deals or provide investment advice. All investment decisions are your sole responsibility.

Community Guidelines

Finders Guild connects members across multiple affiliated communities. These Guidelines apply to all community interactions:

  • Respect & Civility: Treat all members with respect and professionalism
  • Authenticity: Represent yourself truthfully and maintain genuine interactions
  • Confidentiality: Keep sensitive member information confidential
  • No Spam: Avoid excessive self-promotion or unsolicited sales pitches
  • Constructive Dialogue: Engage in substantive, respectful discussion
  • Accountability: Take responsibility for your contributions and conduct
  • Platform Respect: Follow all community platform rules and moderator guidance

Members who come from other affiliated communities remain bound by these Guidelines and must maintain the same standards of conduct across all Finders Guild spaces.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINDERS GUILD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability shall not exceed the fees you paid in the 12 months preceding the claim. This limitation applies regardless of the legal theory (contract, tort, strict liability, etc.).

You acknowledge that investment decisions carry inherent risks, and we are not responsible for investment losses or deal outcomes.

Dispute Resolution

Informal Resolution

If you have a dispute with Finders Guild, we encourage you to first attempt to resolve it through informal communication with our support team.

Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration rather than court proceedings, except for matters of intellectual property infringement or emergency injunctive relief. Arbitration will be conducted under the rules of the American Arbitration Association.

Governing Law

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles.

Termination & Suspension

Termination by You

You may terminate your membership at any time by providing written notice. Termination becomes effective at the end of your current billing period. Outstanding fees remain due.

Termination by Us

We may suspend or terminate your membership immediately if you:

  • Violate these Terms or our Code of Conduct
  • Engage in illegal activities
  • Fail to pay membership fees
  • Pose a risk to other members or our platform
  • Repeatedly violate community guidelines

Effect of Termination

Upon termination, your access to all guild services ceases immediately. Membership fees are non-refundable. We may retain your data as required by law.

Modifications to Services & Terms

We may modify, update, or discontinue services at any time with 30 days' notice. Significant changes will be communicated to registered members via email.

These Terms may be modified at our discretion. Material changes will be posted to our website with at least 30 days' notice. Your continued use after notification constitutes acceptance of the modified Terms.

Severability
